Annual General Meeting

AGM information

The Company’s Annual Ordinary General Meetings (AGM) are held in Doha, Qatar every calendar year. At the AGM, the shareholders exercise their voting rights in key issues, such as the ratification of the Board of Directors' report on the company’s activities, adoption of financial statements and company’s governance report, as well as to discharge the Board of Directors' members from their responsibilities and to approve their remuneration and to elect Board members in times of Board member elections.

At this meeting, the shareholders may receive copies of company’s annual report and corporate governance report, review fiscal information for the past year, and ask any questions regarding the company's future business direction.

At the AGM, the Chairman of the company presides over the meeting and may give an overall status of the organization. The secretary prepares the minutes and may be asked to read important papers.

As per Nakilat’s articles of association, Article (51): For a General Assembly meeting to be valid, three conditions must be met:

  1. Inviting ministry of commerce and industry to assign a representative to attend the meeting on its behalf
  2. The presence of shareholders representing at least 50% of company’s capital
  3. The presence of the company’s external auditor

Invitations shall be sent at least three days prior to the meeting date. If there was no quorum, the second alternative meeting shall be valid regardless of the number of shares represented therein.

EGM information

The company’s Extraordinary General Meeting is held in Doha, Qatar. It is called for by the Board of Directors as per the situations listed in Qatar’s Commercial Companies Law (11) of 2015. The meeting will convene if attended by shareholders representing at least 75% of the company’s share capital. If such quorum was not met , a second meeting shall be called to convene within the 30 days following the first meeting. The second meeting shall be deemed valid if shareholders representing 50% of the company’s shares attend. If this quorum was not met then a third meeting shall be called to convene after lapse of 30 days from the second meeting. The third meeting shall be deemed valid irrespective of the number of attendants.

Commercial Companies Law (11) of 2015 , Article (137):

A resolution may not be passed in the following matters unless passed by a General Assembly convened as an Extraordinary General Assembly:

  1. Amendments to the Company’s Contract or its articles of association
  2. Increasing or reducing the capital of the company
  3. Extending the term of the company
  4. Dissolution or liquidation, conversion or merging of the company into another company or acquiring it
  5. Selling the whole project for which the company was established or disposal of it in any other manner

Also, the Board of Directors may call for an Extraordinary Meeting if requested by shareholders representing 25% of the company’s share capital.
